Terms and Conditions for Meta Ads Service

Quest Systems

These Terms and Conditions ("Agreement") govern the provision of Meta (Facebook & Instagram) Advertising Services ("Services") by Quest Systems ("Agency") to the client ("Client").


1. Service Scope and Commitment

1.1 Service Provided

Quest Systems will provide strategic planning, creative direction, campaign setup, management, optimization, and reporting for the Client's advertising campaigns on the Meta platform (including Facebook and Instagram).

1.2 Access to Technology

As part of the ongoing monthly retainer, the Client will receive non-exclusive access to the Quest Systems Software and CRM, which is powered by the GoHighLevel (GHL) platform, for the duration of this Agreement. This access is solely for the purpose of managing and nurturing leads generated by the Services.


2. Financial Terms and Payment Structure

2.1 Initial Setup Fee

A non-refundable Setup Fee of $500.00 is required upfront. This fee covers the initial strategic deep dive, ad account audit/setup, creative preparation, and technical integration required to launch the campaigns.

Note: The Setup Fee of $500.00 will be credited against and considered the first month's Monthly Retainer (see Section 2.2). The Client must submit this payment to demonstrate serious commitment before any work commences.

2.2 Monthly Retainer

The fixed monthly charge for the management and optimization of the campaigns is $500.00 (ex. GST/Tax). This retainer includes the service scope outlined in Section 1.1 and the CRM access defined in Section 1.2.

2.3 Performance Fee (Lead Commission)

In addition to the Monthly Retainer, a performance-based fee is applied:

Per-Lead Rate: $50.00 (ex. GST/Tax) for every Qualified Lead generated by Quest Systems’ Meta Ad campaigns.

Monthly Cap: The total monthly Performance Fee is capped at $1,500.00 (ex. GST/Tax), which equates to 30 Qualified Leads (30 leads * $50.00 = $1,500.00).

2.4 Definition of a "Qualified Lead"

For the purposes of the Performance Fee, a "Qualified Lead" is defined exclusively as:

A prospect who clicks on the Client’s Meta Ad and successfully completes and submits the designated Lead Form (e.g., Instant Form, Landing Page Form) connected to the Quest Systems' tracking and CRM.

The count is determined by the system-generated record within the Quest Systems CRM.

Exclusion: The Performance Fee does not apply to organic leads, direct calls, direct website traffic, or leads generated through any other marketing channel not managed by Quest Systems.

2.5 Billing and Invoicing

The Monthly Retainer will be invoiced on the first day of each calendar month following the initial Setup Fee month.

The Performance Fee will be calculated based on the number of Qualified Leads generated in the preceding calendar month and invoiced alongside the subsequent month’s Retainer.

All invoices are due for payment within 7 days of the invoice date. Service may be paused if invoices are outstanding beyond 14 days.


3. Service Commencement and Client Responsibilities

3.1 Setup Timeline

Quest Systems commits to commencing the launch of the advertising campaigns within 7 to 14 business days after both of the following conditions have been met:

The initial Setup Fee has been paid.

The Client has fully completed the Onboarding Form and shared all necessary assets (e.g., logo, brand guidelines, images, videos, access to existing Meta Ad Account/Business Manager) required for campaign creation.

3.2 Client Assets and Authorization

The Client is solely responsible for:

Providing all necessary files, images, videos, and branding materials.

Ensuring they hold the necessary rights and licenses for all materials provided.

Maintaining an active and correctly funded Meta Ad Account and providing Quest Systems with the required administrative access to manage the campaigns. The Client is responsible for all Ad Spend costs, which are paid directly to Meta.


4. Term and Termination

4.1 Agreement Term

This Agreement commences on the date of payment of the Setup Fee and shall continue on a month-to-month basis.

4.2 Termination

Either party may terminate this Agreement by providing 30 days' written notice to the other party.

Upon termination, the Client remains liable for:

The full Monthly Retainer for the month in which the termination notice was given.

Any accrued Performance Fees up to the final day of service.

Upon termination, the Client’s access to the Quest Systems Software and CRM (GHL platform) will be revoked on the final day of service.


5. Limitation of Liability and Disclaimer

5.1 Performance Disclaimer

The Client acknowledges that advertising results, including but not limited to conversion rates, final lead quality, and sales/revenue generation, are subject to various market factors, the quality of the Client's sales team, and the Client's product/service. Quest Systems provides no warranty or guarantee regarding specific campaign performance outcomes beyond generating Qualified Leads as defined herein.

5.2 Indemnity

The Client agrees to indemnify and hold Quest Systems harmless from any claims, damages, or liabilities arising from the Client’s products/services, actions, or breach of Meta's advertising policies or local laws.
